Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") are an agreement between Avouro LLC, a Michigan limited liability company ("Avouro", "we", "us"), and the person or business that applies to the Scopebond affiliate program ("you"). You accept them when you tick the box and apply in Scopebond Cloud. Our Terms of Service and Privacy Policy also apply to your Scopebond account.

1. Joining

• You apply with your own Scopebond account. We review each application and may approve or decline it at our discretion.
• You must be at least 18, able to enter a contract, and able to receive payouts through Stripe in the United States.
• You are an independent contractor. Nothing in these Affiliate Terms makes you our employee, agent, partner or joint venturer, and you may not make commitments for us.

2. Links and codes

• Once approved, you can make referral codes in Scopebond Cloud. Each code has a link to scopebond.com.
• A workspace is credited to you when it is created in Scopebond Cloud by someone who arrived through one of your links, and the code was active at that time. The first code a workspace is created with is the one credited. A workspace created by you, or one you are a member of when it is credited, is not credited.
• We count visits through your links by code and day only. You can see these counts, the workspaces credited to you (numbered, not named), their sales and your commissions in Scopebond Cloud.
• If you believe a workspace you referred was not credited, write to us within 30 days of its creation and we will look at what we have on record.

3. Commission

• You earn the commission rate shown in Scopebond Cloud when an invoice is paid, applied to what that invoice collected excluding taxes, for every invoice a credited workspace pays during the earning period shown in Scopebond Cloud, counted from the day the workspace was credited.
• Commission is held for the hold period shown in Scopebond Cloud after the invoice is paid. If a payment is refunded or lost in a dispute, the matching share of its commission is cancelled or, if it was already paid, deducted from later commission.
• We pay in US dollars once what is due reaches the minimum shown in Scopebond Cloud. We may change the rate, earning period, hold period or minimum by posting the change in Scopebond Cloud; a change applies to invoices paid after it is posted.
• No commission is earned on a workspace whose credit we cancel under section 5, on invoices paid after these Affiliate Terms end, or on taxes, fees or amounts we do not collect.

4. Payment and taxes

• We pay through Stripe Connect. To be paid you set up a Stripe account through Scopebond Cloud and accept Stripe's own terms, including the Stripe Connected Account Agreement. Stripe holds your bank and identity details; we receive only whether Stripe allows us to pay you.
• Stripe collects your tax information (Form W-9) on our behalf and files the Form 1099 that your earnings require. You are responsible for your own taxes on what you earn.
• We may withhold a payout while Stripe asks for more information, while we look into a possible breach of section 5, or where the law requires it.

5. How you promote Scopebond

• Describe Scopebond accurately, using what scopebond.com says about it. Do not make claims about Scopebond that it does not support, or offer discounts or terms we have not offered.
• Say clearly that you earn a commission when you recommend Scopebond, as the US Federal Trade Commission's endorsement guides require, and follow the laws on advertising, email and messaging where you promote it.
• Do not send unsolicited bulk email or messages, bid on "Scopebond" or "Avouro" in paid search, use a domain or account name that includes them, present yourself as Scopebond or Avouro, or place your links where people have not chosen to visit them.
• Do not refer yourself, your own business or anyone on your behalf to earn commission, or use any means to inflate visits or sign-ups.
• We may cancel a credit, cancel unpaid commission it earned, pause your codes or end these Affiliate Terms if you break this section.

6. Our name

While these Affiliate Terms are in force, you may use the names Scopebond and Avouro and the materials we give you only to refer people to Scopebond as described here. We may ask you to change or stop any use, and you will.

7. Ending

• Either of us may end these Affiliate Terms at any time: you by writing to us, we by telling you in Scopebond Cloud or by email. When they end your codes stop.
• Commission earned on invoices paid before the end is paid once its hold period has passed, even if it is below the minimum, unless we ended them under section 5.
• Sections 4, 7, 8 and 9 continue after the end.

8. Liability

• The affiliate program is provided as is. We do not guarantee any number of visits, sign-ups or earnings.
• Our total liability arising out of these Affiliate Terms is limited to the commission paid or payable to you in the 12 months before the claim. Neither of us is liable for indirect or consequential losses. These limits do not apply to liability that cannot be limited by law.

9. General

• These Affiliate Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws rules. The state and federal courts located in Michigan have exclusive jurisdiction.
• We may change these Affiliate Terms by posting a new version on this page. A change applies to invoices paid after it is posted; if you do not agree, you may end these Affiliate Terms under section 7.
